NOTE: You may not apply to or participate in the Ambassador Program if you are not of legal age to form a binding contract with Sprout Studio, or are otherwise precluded from participating in the Program under the laws of the country in which you are resident.
In order for you to participate in the Ambassador Program, you must be willing to abide by these terms below, as well as our general Terms of Use and Privacy Policy. These terms of use, along with the Privacy Policy and other policies we may add, shall be referred to as the “Terms”, which govern all the services we provide and all content and products available in respect of the Services (all websites, systems, apps, and technology provided in regards to our services collectively called “Website”).
You cannot participate in the Ambassador Program unless you accept these Terms and indicate your acceptance by ticking the box on the Sprout Studio Ambassador registration form on the third-party platform partner’s (Tapfiliate) website.
Please read and review the contents of the entire agreement. You are welcome to print this page for your personal record. This is a legally binding agreement between “you” and/or the company you represent (collectively “you”, “yours”, “ambassador” etc.) and Sprout Studio (“we”, “us”, or “our” etc). By creating an Ambassador account, or by otherwise using or distributing an Ambassador link, you are confirming that you have read and understood the terms and conditions of this agreement and that you unconditionally agree to be legally bound by all of the terms and conditions contained herein.
We encourage you to review this Agreement periodically as we may update or make changes to the Terms of this agreement from time to time. When we do, we’ll make a new copy of the Terms available via the Ambassador Dashboard, by email, as well as on our website. When we post changes to the Terms, the “Latest Update” date at the top of the Terms will be updated. If you continue to participate in the Program after the date on which the Terms have changed, you are deemed to have affirmatively accepted the updated Terms. If you decide to leave the Program following any changes, the only solution is to withdraw your participation or terminate your participation in writing by email.
The following terms and conditions are fully applicable to you as a Sprout Studio Ambassador:
1. Termination
1.1 The Ambassador and Sprout Studio both have full right to terminate this agreement at any time, with or without cause.
1.2 These Terms shall remain in full force and effect for the whole time during which you participate in the Program.
1.3 Sprout Studio may terminate your participation in the Ambassador Program at any time with written notice if you breach any of these Terms, except in instances of gross misconduct where an Ambassador will be immediately removed without notice.
1.4 Immediately upon ceasing to participate in the Ambassador Program for any reason (whether it be due to termination of your agreement with the Ambassador Program or otherwise), you must cease all uses of any trademarks, logos, and other designations from Sprout Studio’s Ambassador Program and disable any links from your site.
1.5 The termination of your participation in the Program will not relieve you of any liability arising from any breach of these Terms occurring prior to such termination.
2. Promotion Restrictions
2.1 Ambassadors are permitted to open more than one account with the Ambassador Program, however commission on sales will only be rewarded on a “last click wins” basis to the Ambassador delivering the last click resulting in a sale.
2.2 Ambassador links are prohibited from being added to any and all coupon sites, “shopping assistance applications”, “toolbar installations”, “add-ons” or “pop-ups.”
2.3 We reserve the right to disable your link without warning if it is listed on any unsuitable sites, as outlined below in section 2.4.
2.4 Unsuitable sites include without limitation those which:
Contain a URL with any or all of the following terms, or derivatives of the following terms: “code”, “voucher code”, “promotional code” “voucher” or “coupon”, or otherwise appears in search engine listings under any of these terms, and/or any website whose primary focus is to promote the use of voucher codes.
Infringe trademark rights of the Company or any third parties or otherwise violate the rights of any third party;
Contain sexually explicit materials;
Contain hate/violent/offensive content;
Promote discrimination based on race, sex, gender identity, religion, nationality, disability, sexual orientation, or age;
Promote illegal activities or otherwise violate any applicable laws, including without limitation: (i) viruses, Trojan horses, worms, time-bobs, keystroke loggers, spyware, adware, or any other harmful programs, or (ii) any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation to any person;
Violate any intellectual property rights of the Company or any third parties, including, without limitation, scraping text or images from the Website;
Are otherwise considered by us to be offensive or inappropriate;
2.5 Any pending commission owed to you will not be paid if your account is terminated due to improper link use.
2.6 Sprout Studio does not condone or endorse Spam. Any Ambassadors found to be actively engaged in spam activities will be removed from the Program. Commission will not be payable where it results from or is connected to Spam activity.
2.7 Ambassadors shall not conduct any unauthorized eDM (email direct marketing) communications advertising the Sprout Studio brand. Classification of eDM communications that are not permitted includes, without limitation, unsolicited email (spam), spamvertising, and spoofing.
2.8 By participating in the Program, you agree to abide by all applicable regulations and employ best practices in all marketing email communications.
3. Commission and Payment
3.1 In addition to signing up for a trial, your referrals must have also started actively using their Sprout account and remain subscribed to Sprout Studio for at least 30 days in order to be considered eligible for a referral commission.
3.2 After your referral has been verified, any pending commissions will be approved and paid out directly through PayPal within the first 5 working days of the following month. There is a minimum payout of $50 USD, meaning any commissions under $50 will be maintained in the system and paid out once the total amount owed to you exceeds $50.
3.3 In order to receive payment under this Agreement, you must:
(i) agreed to the terms of this Agreement;
(ii) complete all steps necessary to register your account in Tapfiliate, including adding a valid PayPal account;
(iii) have an account in good standing within the Ambassador program
3.4 You are responsible for payment of all taxes and fees (including bank fees) applicable to the Commission. All amounts payable by us to you are subject to be offset by us against any amounts owed by you to us. We reserve the right to alter or change the commission amount as per the Ambassador Agreement.
3.5 No commission is payable in respect of:
(i) transactions made using invalid promotion/voucher codes;
(ii) cancelled, refunded, or fraudulent transactions;
(iii) non-commissionable items, such as a free trial, a plan upgrade, or a referral to participate in the Ambassador Program;
(iv) improper link use, as outlined in section 2.4.
3.6 The “cookie period” during which a commission may become payable (subject to all other Terms) following the date of access (the “Session Start Date”) by a Sprout Studio website end-user clicking on a link published by the Ambassador is the earlier of:
(i) 60 days from the Session Start Date
(ii) the date and time at which a website end-user visits Sprout Studio’s website via any indirect link other than an Ambassador Link (for example but without limitation, via the online marketing activity of any other third party); and
(iii) the expiration or termination of the Ambassador’s participation in the Program for any reason whatsoever.
4. Ambassador Obligations and Responsibilities
4.1 General
4.1.1 Ambassadors will only engage in advertising, marketing, and promotional efforts which do not violate any law and which reflect positively upon the business reputation of the Sprout Studio brand.
4.1.2 Ambassadors shall not establish any social network profiles or domains, a blog domain, profile name, or display name containing “Sprout Studio” or any variation.
4.1.3 While operating within social environments, you must communicate under your own name so there is clarity that Ambassadors are not misrepresenting themselves as Sprout Studio.
4.1.4 If posting on an existing community website with reference to Sprout, you must be open to community members that you are an Ambassador for Sprout Studio.
4.1.5 If you receive any complaints from your network regarding Sprout Studio, please do not respond and instead forward the complaint via email to Sprout Studio’s Support team within 24 hours.
4.1.6 Other than entitlement to receive Commission in accordance with section 3, Ambassadors are not entitled to any costs or payments incurred in connection with the advertising, marketing, and promotion of Sprout Studio, and shall bear all costs and expenses in accordance with the Program.
4.2 Promotional Restrictions
4.2.1 The website end-user must click from the Ambassador’s link to www.TrySproutStudio.com/YourName or www.getsproutstudio.com and register for their trial. Overlays and masked URLs are NOT permitted. Clicks must never land directly on www.sproutstudio.com
4.2.2 Ambassadors shall not set up any site redirects from any page on their website or network of websites so that the page goes directly to www.sproutstudio.com.
4.2.3 Ambassadors must not place any banners or links within unsolicited emails, unauthorized newsgroup postings, chat rooms, or through the use of “bots”. Traffic generated illegally will not be commissionable.
4.2.4 Ambassadors are not permitted to bid on or use any Sprout Studio trademarks to gain preferential listings on search engines or directories or any other kind of online database.
4.2.5 Ambassadors are expected to cooperate fully in utilizing and maintaining links and other promotional assets provided on behalf of Sprout Studio.
4.2.6 Ambassadors must utilize the entire code for the banners, links, and other promotional tools provided (including the tracking codes therein) and not in any way alter or remove any part of the code.
4.2.7 Ambassadors agree to display any graphical or textual images that are provided by Sprout Studio in relevant sections of the Ambassador’s website(s) and update such images with new assets provided by Sprout Studio from time to time;
4.2.8 Ambassadors must only display such graphic and/or textual images in accordance with any applicable time limits and ensure that they are not displayed after the expiry of any applicable promotional periods relating to such graphic or textual images.
5. Trademark/Logo Usage
During the term of this Agreement, you may use our trademark as long as you follow the usage requirements in this section.
5.1 You must:
(i) only use the images of our trademark that we make available to you, without altering them in any way;
(ii) only use our trademarks in connection with the Ambassador Program and this Agreement;
(iii) comply with our brand guidelines and Trademark Usage Guide;
(iv) immediately comply if we request that you discontinue use.
5.2 You must not:
(i) use our trademark in a misleading or disparaging way;
(ii) use our trademark in a way that implies we endorse, sponsor or approve of your services or products without prior written permission;
(iii) use our trademark in violation of applicable law or in connection with an obscene, indecent, or unlawful topic or material.
